Large transaction management

Manage large transactions with contracts in multi-document transactions (and reuse the answers given in one Q&A for creating the related contracts and documents). Bulk e-signing management integrated.

End-users from different user groups participating in the transaction can see the existence of templates to which they do not have access rights, but not modify the Q&A answers if they are not entitled.

Batch contract creation Create large volumes of contracts based on imported Q&A spreadsheets. The multiplication of contract entries can be achieved by multiplying them in the spreadsheet. Useful in case of relatively straightforward documentation such as creating and managing intra-company agreements or closing documentation.
Business intelligence (BI) insight in contracts How did we answer any (first-draft) Q&A questions? Full reports with the history of Q&A answers by yourself or your colleagues can be generated with a few clicks.
API and servicing of contract data and files

Advanced integration options with external IT applications:

Contracts can be initiated from external applications (deep-linked or in popups).

All-options documents

Weagree can create ‘all-options model contracts’ showing all Q&A-options inline in a single Word-document. Such options can be between [square brackets] and be identified by their Q&A-answer in superscript.

For large contract templates, it is possible to create multiple ‘almost-all-options’ documents: separated for one or more selected Q&A-questions, on the basis of which, for each Q&A-answer, a Word-document is generated (selecting two Q&A-questions, one with 2 and one with 3 Q&A-answers, will result in 2×3 (six) almost-all-option-documents).

Template testing Template implementation and maintenance are configured in such a way that senior legal counsel can review and modify Q&A formulations in tooling separate from admin tooling. Generated all-options documents (see above) are made available for testing (redlines).

Contract lifecycle management (CLM)

General, contract lifecycle management (CLM)

Manage your signed contracts:

Signed contracts can be managed for the data specific to the type of contract. Flexibility to define several sets of contract data per type of contract. Chinese Walls: access to contracts based on user roles, user profiles and user groups.

Available as a fully integrated solution with contract automation or as standalone solution (as read-only or read-and-write).

Weagree’s CLM can also be used as an integration step-up from contract automation towards an external ERP (for ease of managing, and updating the contract data before metadata export).

GDPR register

Weagree enables you to operate GDPR compliant. Weagree’s CLM can be configured to operate as a GDPR register, including reporting options.

CLM-managed contracts can be configured to be deleted after the retention period (on a per-contract basis, retention periods can be adjusted). It preserves data integrity and allows you to reinforce both your own data classification policy and data access rights restrictions.

E-signing (plugin)E-signature solutions can be plugged into the Weagree Wizard, allowing users to initiate and monitor e-signing progress from within Weagree. The e-signed contract is automatically returned to the correct contract entry. Plugins for many e-signing solutions are available. Implementation takes a few minutes only.

Tasks Kanban

Weagree has a fully integrated contract tasks Kanban. Many tasks are triggered fully automatically: upon starting a contract (task: finish questionnaire), upon generating a contract (task: follow-up on first draft), upon submitting for approval (tasks: request for approval, follow-up on approval or rejection), upon starting e-signing (task: chase the e-signatory to e-sign), upon e-signing (task: register in CLM), and for each CLM-contract deadline, etc. Also entity management triggers tasks automatically.

Users can of course also create manual tasks, including during the questionnaire (asking colleagues for input or review). This allows users to pin an ‘idea’ (task to self) on the Backlog of Weagree’s Kanban board.

The Kanban view can be switched to table view (showing the same details, not on Kanban cards but in a table view with for each task a row).

Automated triggers and automated completionSince in many cases, Weagree ‘knows’ that a task is completed, it will automatically mark such task ‘completed’. For example, a task Finish questionnaire is (presumably) completed upon generating a first-draft contract.
Recurring tasksAs users can create tasks manually, they can configure them to recur upon completion. The recurrence frequency (and ending) can be defined as well.
Task statuses customisableWeagree’s tasks Kanban is designed by lawyers for lawyers. Therefore, by default it distinguishes a task status ‘Unscheduled (on hold)‘ from the well-know Backlog status and it distinguishing what needs to be done in the next two or three weeks (status In progress) from what requires attention this week (status Do now).
Collaborative contract tasksDepending on the configuration of rights, users can see each other’s Kanban boards (and hence monitor a team’s busyness).
Contract-level and Project-level tasksIn addition to the user’s portal-spanning Kanban board, every individual (contract-creation and CLM-managed) contract entry contains a contract-dedicated Kanban, showing all tasks in connection with such contract. This also applies to tasks in the context of a project (where multiple, linked contracts are being managed).

Pending contracts and transactionsAs general counsel, head of legal, manager of legal operations or partner or senior counsel, you want to have a quick insight into what team members, colleagues or business departments are working on.

Contracts should not remain unsigned, and business opportunities should not inadvertently be lost. One-click overviews, therefore! You can configure the search and filter options intuitively and easily.
Usage monitoring and reporting (who is doing what?)The reporting tooling allows (authorised) end-users (a) to see who is working on which (pre-signing) contracts, and (b) for whom which (or how many) contracts will expire or bring deadlines in a certain, presumably future period (after-signing).
Monitoring and reporting on CLM-managed contractsThe reporting tooling enables (authorised) users to monitor which signed contracts will expire, have an upcoming deadline, and require reconsideration of renewal, both for their own managed contracts and those of their colleagues within the same user groups.

In addition, (authorised) users can monitor their CLM contracts for any contract metadata: value+expiry, value+first delivery, exclusivity arrangements, territorial scope, termination rights, transferability, licence scope, IP entitlements etc.

Legal entity management introducedThe Weagree Wizard has a fully integrated party database, and an internal CRM, with entity management and corporate housekeeping. This is included in the licence (no extra charges) but can be switched off.
Party database (own parties) + ‘who may sign?’Basic party details are collected in a central party database (one database for ‘own parties’ and one for ‘other parties’). Either can be integrated via API with external applications. The legal entities can be assigned to user groups, to manage their availability per type of contract or their accessibility per group of end-users.
The overview also contains the details of all board members, as well as (if applicable) the legal entities in which that party itself is a board member.
Party database (other parties)The entity management tooling is available in respect of ‘other parties’ as well. Procurement can monitor the creditworthiness and compliance of suppliers and partners by using Weagree’s entity management.
Party database configuration & batch upload of CRMAdmin can add party fields to be used for a specific context. The part database contains tooling to upload spreadsheets with multiple (own or other) parties.
Corporate housekeeping (governance: MDs, NEDs, PoA’s)Advanced entity management and corporate housekeeping allow one-click access to various details of a legal entity, presented in a convenient overview screen: company addresses, office locations etc. corporate structure and corporate documentation.

Believe it or not: in less than 5 hours, you are able to insert your model contracts and build the related questionnaires. That works for the peloton of your model contract templates. Follow the admin training courses (free).

There are probably some special cases among your contract templates: learning how to insert them may take you another 2 to 4 hours. Believe it or not: we have seen some really complicated contracts.

Template creation and Q&A building (TCT)We have made the Weagree admin tooling so user-friendly that after inserting some five or six templates, you master it all yourself: do the administrator work at 60 percent of the time needed with our competitors’ contract automation ‘authoring’ tooling. In other words: automate even the most complex contract templates in almost half of the time competitive contract assembly software would require from you (even contract assembly vendors that promise ‘no coding’). It is because most of Weagree’s templates are visualised, making it super easy.
Clause library managementEasy central clause-library clause management: search and filter on clause owner, keyword, category, language or simply the clause description. Adding a clause from a Weagree template to the clause library is one click only.

Q&A (formulations) EditingAnnoying in implementing contract automation is that senior-legal involvement is to be combined with junior semi-IT template insertion work.
