Weagree licences (features per user)

Weagree’s licence model provides three types of usage:

1. Lawyer’s licence: typically, in-house counsel, senior contract managers and attorneys-at-law (advocaten). A user with lawyer’s licence can do what business-limited users can (see 2. below). In addition, lawyers can:
   • edit (not only preview) the contract texts during the Q&A in the questionnaire’s real-time (WYSIWYG) editor;
   • insert clauses ad hoc from the clause library into the contract to be created;
   • create and tailor single clause-library clauses (e.g.for marking up another’s first-draft contract);
   • use Weagree’s contract lifecycle management (CLM: contract repository, contract notifications, obligation management);
   • use contract-reporting and analysis tooling;
   • legal entity management advanced options (read-and-write); and
   • insert or modify templates and questionnaires.
2. Business-limited users: employees related to business departments such as procurement, sales, intellectual property, HR, treasury, shared services etc. These users ‘consume’ the templates made available to them (i.e. go through the Q&A and generate, whether or not after a required approval, their Word or PDF contract). CLM requires an add-on licence.
3. #-template users: users having the same rights as light users but with access to one or two templates only. Examples: NDA tool, or a department tool for corporate guarantees, powers of attorney, or simple sets such as employment and consultant agreements.

Guest users. Licences for Guest user access are included in the inviting user’s licence fee (free of charge). However, Weagree reserves the right to introduce a separate licence fee for such guest users (subject to reasonable prior notice).

Approvers. Licences for approvers (approving a request submitted via Weagree’s approval workflows) are free of charge.

All users, including guest users and approvers, can discuss and communicate with each other both alongside the contract-automation questionnaire and in the CLM.

CLM (managing signed contracts). Weagree’s integrated contract lifecycle management (CLM) functionality is not included for business-limited users and not for one-template or two-template users. Nonetheless, for business-limited users there is a CLM add-on licence (read-and-write or read-only); and for one-template and two-template users there is an add-on licence (only read-only) for the CLM-part. Furthermore, CLM can also be licensed as standalone option (either read-and-write or read-only).

No modules. Apart from CLM, Weagree has not adopted a modules-approach to availability of features: it makes user-adoption easier, as you are not burdened by licence restrictions and implementation is also not complicated by it. With the exception of CLM, no modules or add-ons are separate from the licence scope.

Two licence models. Weagree provides two licence models, one of which would be yours:

1. SaaS licence: Weagree takes care of the proper and secure performance of the Weagree Wizard. Future software updates and upgrades will be implemented upon release.
2. Perpetual licence: the software is fully paid-up; the related annual maintenance & support (i.e. provision of bug fixes, and improved or new functionalities) is optional. With a perpetual licence, maintenance and support (M&S) will be required to continue receiving all software updates, upgrades and bug fixes. M&S is optional and payable annually in advance.

Hosting vs. on premise. Hosting (ISAE 3402 Type II (SOC2) compliant) can be excluded from a SaaS licence, and optionally be included with a perpetual licence. If hosting is not provided by Weagree, a setup fee may apply.
