When a clause in the contract draft is not acceptable, instead of replacing it wholesale with a fallback clause (creating a dump of tracked changes), optimising it so that it matches the fallback’s meaning is usually preferable. Surgical redlining will show the precise changes.

With AI, this surgical redlining can be automated. It can compare the original draft to the fallback, taking into account its own risk analysis, to determine how the draft needs to be changed in order to be considered acceptable. The AI will seek to keep edits to a minimum to produce a ‘surgical’ redlining (aka precision redlining). You will be able to check the AI’s suggested edits and make adjustments before the contract draft is actually changed, of course.

1. Click the title of the clause card to expand it.

2. Choose the fallback clause that will serve as the point of reference for optimisation and click Edit.

3. Click Optimise, directly below the editor. It may take a few moments for the optimised text to be returned by the AI.

4. Review the AI-optimised text in the editor and adjust as needed. Additions and deletions (both the AI’s and your own) are surgical-redlined. To undo a redlined change, right-click on it and click Reject change in the context menu.

Note: you cannot ‘accept’ any changes in the editor. The surgical redlining is necessary for transfer to the actual document, where you will be able to accept them if you so choose.

5. Click Apply and select the applicable option:

Replace: track changes, plus comment (there will be a playbook-predefined, customisable comment)
c. Replace: no track changes and no comment
dReplace: no track changes, plus comment
eAdd Word comment only (for discussion or administrative purposes)

Note: Word’s track-changes functionality will be automatically enabled if you select a ‘track changes’ option.
